Offer Agreement for Private School Placement Service

This Offer Agreement defines the conditions of the Private School Placement Service — including payment methods, refund terms, and the option for families to sign a direct contract with the selected school.
1. GENERAL TERMS
1.1. This Offer Agreement (hereinafter referred to as the “Agreement”) governs the terms and conditions for the provision of the Private School Placement Service (hereinafter referred to as the “Service”) by WayUSA Inc. (hereinafter referred to as the “Company”).
1.2. The Service is designed to assist the Client in selecting an appropriate high school in the United States — private (Private School), public (Public School), charter, or Catholic (religious) — based on the student’s academic background, English proficiency, and personal preferences, as well as the Client’s approved budget.
1.3. By making payment for the Service, the Client fully accepts the terms of this Agreement.

2. REQUIRED INFORMATION
2.1. To begin the placement process, the Client shall provide the following:
  • Student’s full name, age, citizenship, and contact details;
  • Academic transcripts (records of grades) for at least the previous two academic years;
  • Additional documents or recommendations (if available).
2.2. The Client agrees to assist in arranging an interview between the student and a school representative, if required by the school.

3. SCHOOL SELECTION CRITERIA
3.1. The Company agrees to present the Client with at least one school option that meets the Client’s pre-approved written preferences and parameters, including:
  • Budget;
  • Housing format (boarding on campus or homestay);
  • Type of school (private, public, charter, or Catholic/religious);
  • Region* (specific state, proximity to a city or university).
* When the “Region” parameter is selected, the Company does not guarantee that the student will receive a scholarship offer.

4. EDUCATIONAL AND LIVING ARRANGEMENTS
4.1. The school’s written offer shall include the total cost of tuition, accommodation, and meals for the stated academic period.
4.2. The student’s housing is arranged by the school in compliance with U.S. law, either:
  • on the school campus (boarding), or
  • with a certified host family approved by the school or an authorized organization.
4.3. The specific housing type will be confirmed in the school’s written offer.

5. FEES AND PAYMENT
5.1. The Service fee is paid in U.S. dollars (USD) by:
  • bank SWIFT transfer, or
  • international debit card payment.
5.2. Credit card payments are not accepted.
5.3. The Service fee is paid in advance and in full.
5.4. The paid amount is considered a deposit, covering the Company’s administrative and organizational expenses incurred while performing the Service.
5.5. The total fee and any additional costs are confirmed in writing prior to the start of the placement process.

6. COMPLETION OF THE SERVICE
6.1. The Service is considered rendered in full once the Client receives a written offer from a school, containing:
  • the school’s name,
  • the total cost of tuition, accommodation, and meals,
  • and the duration of the study period.
6.2. Upon providing the written school offer, the Company’s obligations under this Agreement are deemed fully satisfied.
6.3. After receiving the school’s written offer, the Client may enter into a direct enrollment agreement with the selected school.
All tuition, housing, and other payments related to study or stay shall thereafter be made directly to the school in accordance with the school’s policies, payment schedule, and contractual terms.

7. REFUND AND RETENTION POLICY
7.1. A refund may only be issued if the Company is unable to fulfill its obligations under this Agreement — that is, if no school can be offered that meets the Client’s pre-approved written parameters.
7.2. In such a case, the Company retains a non-refundable administrative fee of USD 150 to cover application processing costs.
7.3. Once a written school offer has been provided, the Service is considered completed, and no refund shall be made.
7.4. Any refund (if applicable) is processed minus bank transaction fees.

8. ADDITIONAL SUPPORT
8.1. In addition to school selection, the Company provides supplementary assistance, including:
  • guidance and support in preparing documents for a student visa application;
  • an individual interview training session with the student before the U.S. consular appointment;
  • recommendations for pre-departure preparation and cultural adaptation.
9. FINAL PROVISIONS
9.1. The Company does not guarantee admission to any specific school but undertakes to provide professional and good-faith placement assistance within the Client’s stated criteria and budget.
9.2. All personal data and documents submitted by the Client are used solely for the purpose of school placement and shall not be disclosed to third parties without the Client’s consent, except as required by law.
9.3. Any disputes arising from this Agreement shall be resolved through negotiation; if unresolved, they shall be governed by and interpreted in accordance with the laws of the United States.
